NOW THAT Jas Mobile Broadband (JASMBB) will not be entering the fray, True Corp’s wireless-service business group has high hopes of becoming the No 2 player by the end of this year, said True chief executive officer Suphachai Chearavanont.

Meanwhile, Natee Sukonrat, chairman of the National Broadcasting and Telecommunications Commission’s broadcasting committee, yesterday said Mono Broadcast, operator of the Mono 29 digital TV channel, would not be affected by JASMBB’s failure to make its initial upfront licence-fee payment because the two are completely different corporate entities.

TrueMove H Universal Communication (TUC) and JASMBB were the two winners of licences to the 900-megahertz telecom spectrum at an NBTC auction last December.

Suphachai said this year was expected to be a tough time for True’s mobile-phone service after its heavy investment in the 1,800MHz and 900MHz bands and network expansion but he hoped the business would become profitable next year.

A telecom analyst expects that by the end of this year, Advanced Info Service’s market share will be 51.1 per cent in terms of revenue, down from 52 per cent last year, followed by Total Access Communication (DTAC) at 27.5 per cent, down from 28 per cent. True’s share this year is expected to be 21.4 per cent, up from 19.4 per cent.

The analyst forecast that True would beat DTAC in 2018 in market share with 24 per cent, compared with DTAC’s 23 per cent.

As of last year AIS had 38.5 million subscribers, while DTAC had 25.3 million and True 19.1 million.

Qualifications examined

JASMBB is a subsidiary of Jasmine International (Jas). The NBTC telecom committee will examine the qualifications of Jas’s broadcasting, telecom and TV businesses, according to its recent resolution after JASMBB’s failure to pay the first instalment of its 900MHz licence fee.

The committee on Wednesday resolved to set up a working panel to consider how it will proceed next in the JASMBB case.

Natee said JASMBB was not a telecom-licence holder but only the winning bidder in an auction for that licence. Once it failed to pay the upfront fee, the NBTC could revoke its rights as the bid winner, not the rights of a licence holder.

Mono Broadcast is a subsidiary of Mono Technology, a company listed on the Stock Exchange of Thailand whose majority share, 71.99 per cent, is held by Pete Bodharamik. Pete is chairman of Mono Technology and Jas’s largest shareholder, with 25.85 per cent.

According to Jas, its legal adviser has opined that the Bt644-million deposit placed by JASMBB before the auction will be forfeited. However, JASMBB and Jas group will not be liable for any additional compensation, since the NBTC auction rules did not require that the winning bidders be responsible for any additional compensation apart from the auction deposit.

The telecom committee plans to call for new bids for the 900MHz slot forfeited by JASMBB, possibly on June 24 and at the possible starting bid of Bt75.65 billion, the final price JASMBB offered. TUC can also take part in the auction, the committee says. All these proposals will be put to public hearings.

According to Pacharasut Sujarittanonta, former member of the NBTC teams that prepared the auctions of the 2.1-gigahertz, 900MHz and 1,800MHz spectra, the chance that winning bidders would default on their licence payments would be low if the NBTC set a heavy penalty for such cases, including requiring the bidders to place higher guarantees in proportion to their bids.

However, this would be difficult as long as the NBTC prohibited the bidders from communicating with anyone outside the bidding rooms, making it impossible for them to call out to their companies to ask for higher guarantees, said Pacharasut, who is also a lecturer in Chulalongkorn University’s faculty of economics.

He said the final bids offered at the previous 900MHz licence auction should not be used as the start-up prices in the new bidding round. The final offers by the unsuccessful bidders AIS and DTAC – Bt75.976 billion and Bt70.180 billion respectively – reflected the value of the spectrum itself plus the value of deterring JASMBB from become a new competitor.

But in the new round, the prospective bidders should be expected to offer prices that reflect only what they think the spectrum itself is worth. Therefore, if the minimum starting bid is set at Bt75.65 billion, this will discourage prospect bidders from joining the fray.

He opposed the idea of TUC taking part in the new round, to prevent any single party from hoarding spectrum bandwidth.

Jasmine International (Jas) Chief Executive Officer Pete Bodharamik informed the exchange today that the company did not pay the first instalment of the 900MHz licence yesterday because of delayed investment from the potential Chinese partner.

In a filing to the Stock Exchange of Thailand, he said that the board of directors convened a meeting today to acknowledge that the subsidiary, Jas Mobile Broadband, which won the licence in the December did not obtain the licence from the National Broadcasting and Telecommunications Commission yesterday.

It said that Jas Mobile could not obtain a Bt72 billion bank guarantee as a Chinese company, which is interested in investing in the subsidiary, could not obtain approval from the relevant regulator in time. Such approval is expected to be completed by mid-April 2016, Pete said, which is way past the NBTC deadline.

The name of the Chinese company has never been revealed.

He also insisted that the failure to obtain the 900MHz licence would lead to limited financial impacts, citing the legal advisor’s advice. He said that the only impact was the forfeiture of the Bt644 million bid guarantee.

“Jas Mobile (Broadband – the subsidiary) does not violate any condition as stipulated by Clause 5.2 of NBTC Notification. Thus, such forfeiture does not significantly impact the financial statements of the company,” he said.

The Stock Exchange of Thailand has halted Jasmine International share trading today, pressing for the company’s explanation on the impact. The share was suspended in the afternoon as the exchange deemed the explanation insufficient.

Jas earlier today planned to hold a press conference at 2pm. It was cancelled later.

PRIME MINISTER GENERAL Prayut Chan-o-cha said yesterday that the government’s legal advisory bodies would have to examine carefully whether it is possible to invoke Article 44 of the interim constitution to permit Advance Wireless Network (AWN) to grab a 900MHz licence by paying Bt75.654 billion for the frequency slot without an auction.

The National Broadcasting and Telecommunications Commission submitted for the junta’s consideration yesterday the pros and cons on the AWN proposal to the NBTC’s telecom committee on Monday that it award a 900-megahertz licence to AWN. The company says it is willing to pay Bt75.654 billion for the slot, the same price that Jas Mobile Broadband quoted to win this band at an auction last December.

Prayut said the government’s decision on this case would be based on the country’s interest and legal principles. The government will assign the Council of State and Deputy Prime Minister Wissanu Krea-ngam to look into the matter.

Wissanu said AWN would have to be held responsible for the compensation if it makes the request to buy the licence but later changes its mind.

AWN, a subsidiary of Advanced Info Service (AIS), proposed to the telecom regulator on Monday that it award a 900MHz licence to AWN, which is willing to pay Bt75.654 billion for the band. If the NBTC agrees to the proposal, AWN will hold a shareholders’ meeting to ask for approval to buy the licence, but it could take two months to arrange such a meeting.

AIS’s share price yesterday plunged 6.86 per cent to close at Bt163. Investors are evidently concerned that the telecom giant’s earnings could be affected if it really buys the licence at such hefty price.

The NBTC called in AIS chief executive officer Somchai Lertsutiwong yesterday to talk about the compensation AIS would have to pay if it later decides not to buy the licence after all.

According to Total Access Communication CEO Lars Norling, DTAC currently has a very strong spectrum portfolio of 50MHz and it is confident about getting the bandwidth it needs to serve customers by 2018.

“On AWN’s willingness to pay Jas’s price for the 900MHz slot, we haven’t seen the alleged letter. DTAC will have to discuss this with its board before commenting,” he said.

At the December auction, Jas and True Corp subsidiary TrueMove H Universal Communication (TUC) each won a slot on the 900MHz band. But Jas defaulted on the initial instalment of the upfront fee, prompting the NBTC to plan a second auction for that slot.

AWN and DTAC TriNet of DTAC were the unsuccessful bidders in the December auction.

The NBTC members also approved the rules of the new auction yesterday, voting 5-3 to ban TUC from taking part in this new round of bidding to prevent the possibility of the company monopolising the market for fourth-generation wireless broadband.

Two commissioners were absent from the meeting yesterday.

The vote overturned the telecom committee’s previous resolution that TUC could join the auction.

A majority of the commissioners also approved the minimum starting bid of Bt75.65 billion. The bidders can raise the price by Bt152 million per round. The auction is to be held on June 24.

ADVANCED INFO Service (AIS) has asked the National Broadcast-ing and Telecommunications Commission to extend the deadline for switching off its second-generation cellular service from April 14 to June 30, citing the need for more time to migrate the remaining subscribers to other networks.

The NBTC’s telecom committee yesterday did not consider the request. It just approved the draft rules and schedule for the second auction of a 900-megahertz licence, a committee source said.

AIS submitted the request in a confidential urgent letter to the NBTC on Wednesday, indicating that it was willing to pay a fee for using the 900MHz spectrum during this extended remedy period.

The fee would be based on the final bid that Jas Mobile Broadband made to win the 900MHz licence – Bt75.65 billion – in the first auction last December.

AIS had operated its 2G service on this 900MHz spectrum before the NBTC reclaimed it for auction. Jas Mobile won this slot but failed to pay the first instalment of the upfront licence fee.

AIS has 8.4 million subscribers, of whom 8 million are from its subsidiary Advanced Wireless Network but still roam with AIS’s 900MHz network.

AIS has claimed that it now uses only 5MHz of the 900MHz spectrum out of the total 10MHz, so it will pay for only 5MHz.

Meanwhile, the telecom committee proposed a minimum starting bid for the new auction of Bt75.65 billion, said Takorn Tantasit, secretary-general of the NBTC.

Under the proposed auction rules, each bidder can raise the price by Bt152 million for each round until the bidding ends at the same price that Jas Mobile missed paying.

The NBTC will also require bidders to place a bank guarantee for 5 per cent of the minimum bid, or Bt3.78 billion, prior to the auction, as opposed to lodging Bt644 million in cash as in the first auction.

If the winning bidder fails to make the first payment it will be fined Bt11.35 billion or 15 per cent of the starting bid.

If the winner fails to fulfil the initial payment condition on time, the licence will be awarded to the second-highest bidder.

If there is only one bidder, the auction will still go ahead, as the starting price is already high.

The draft rule for the auction bans Jas from entering this bid.

The telecom committee will submit the proposed auction rules for the NBTC’s consideration on Tuesday, and will hold a public hearing on April 22.

Auction participants will be invited from May 13 to June 12, with prospective bidders submitting documents on June 14.

The NBTC will hold the auction on June 24.

The NBTC will call a meeting with Pete Bodharamik, chief executive officer of Jasmine International, on Tuesday to ask for his explanation of Jas Mobile Broadband’s failure to make the initial upfront licence payment by the March 21 deadline, Takorn said.

The commission will ask for more information from Pete on the company’s preparation to bid for the licence and if Jasmine had set a budget for this.

It will examine the stock trading of executives and board directors of Jasmine group.

Its probe will focus on whether Jas actually intended to bid for the licence and will see if there is evidence that Jas really sought financial support from banks for its bid.

The panel will ascertain the |possible damage to NBTC from this case and see if it could affect Jasmine’s businesses that hold NBTC licences.

THE telecom watchdog is considering allowing the new auction round for a 900 megahertz licence to go ahead if there were only one bidder. That would mean scrapping the “N-1” rule which applied to December’s auction of two 900MHz licences.

A National Broadcasting and Telecommunications Commission source said that the clause may be scrapped because the potential starting bid price for the new auction was already high at more than Bt75.6 billion.

That was the price Jas Mobile Broadband quoted to win the licence in December but then forfeited it after failing to pay for the initial licence upfront fee by last Monday’s deadline

“One difference between the first 900MHz auction and this upcoming one is the first one focused on promoting price competition with a starting price of Bt12.88 billion, while for this new one the possible starting price is already high,” the source said.

Telecom commissioner Pravit Leestapornvongsa said that some key rules the telecom committee had to consider carefully included the possibility of the auction continuing even if there were only one bidder.

However, Pravit said allowing that to happen must be contingent on the auction rules clearly stating that an acceptable price must be achieved.

If there were no auction, the telecom committee would keep the licence for one year at least, according to its previous resolution. But Pravit is doubtful whether this resolution might affect the NBTC’s plan to claim damages from Jas Mobile.

If the NBTC does not hold the new auction, it would have no auction costs or related costs to refer to in order to claim damages from Jas. If the auction is held and the final price is lower than Jas’ bid, the watchdog might be able to claim this price difference from Jas.

It is highly likely that there will be only three bidders – Advanced Info Service, Total Access Communication, and True Corp. However DTAC said that if the starting bid price for this new round were Bt75 billion, it probably would not participate.

DTAC is opposed to the telecom committee’s resolution to allow TrueMove H Universal Communication, which won the other 900MHz slot in December, to take part in this new bidding.

AIS is interested in joining the new auction but the final decision on that rests with its board. True is keeping mum on whether it will enter the fray.

The telecom committee has set up a working group to draft the new auction rules for the possible starting licence price of Bt75.654 billion. The auction is expected to take place on June 24.

THE NATIONAL Broadcasting and Telecommunications Commission (NBTC) will meet tomorrow to respond to Jas Mobile Broadband’s failure to pay the first instalment for the 900-megahertz licence it won at auction in December.

The NBTC earlier resolved to hold a new auction for Jas’s 900MHz band with a starting price of Bt75.65 billion.

The other 900MHz licence winner, True Move H Universal Communication (TUC), may take part in the re-auction. If there is no interest in the band, the NBTC will keep it for at least one year.

A source from AIS said the telecom giant was keen to take part in the re-auction but it had to consider the terms and conditions of the auction first.

Lars Norling, chief executive of Total Access Communication (DTAC), said that this was an unfortunate and unprecedented situation that called for a well-thought-out and fair solution for all involved parties.

If a re-auction must take place, it’s DTAC view that there should be a new auction of this Jas 900MHz-band based on the original criteria and reserve price of Bt16.080 billion (this applies if there are fewer than three bidders) set by the NBTC. Only then can the true value of the spectrum be determined, he said.

Jas Mobile Broadband (JASMBB) of Jasmine International, one of the two 900MHz licence winners, yesterday did not show up to pay the instalment after the deadline yesterday at 4.30pm.

Its failure to pay the instalment suggested that there is no new player in the market to compete with the three incumbent players.

Jas’s share price yesterday closed at Bt3.68, up 2.79 per cent from last Friday, while that of Advanced Info Service (AIS) closed at Bt177, up 3.51 per cent.

DTAC’s share price closed at Bt42.25, up 5.62 per cent, and True Corp closed at Bt8, up 1.91 per cent.

A Jas source said the company had tried its best to fulfil the payment conditions but declined to elaborate.

The telecom committee acknowledged the Jas case yesterday and will convene tomorrow on how to proceed next, including confiscating Jas’s cashier cheque of Bt644 million placed before the auction, and to evaluate the possible damages from the case.

“In this Jas case, we consider it a sensitive issue that we have to consider in all aspects, including the legal one and the country’s interest. We’ll consider more details on Wednesday,” telecom committee chairman Settapong Malisuwan said yesterday.

It is too soon to specify the damage from the case, Settapong added. He added that the committee has done its best in this case.

After tomorrow’s meeting, the committee will also present the conclusion to its legal subcommittee to consider what to proceed next.

NBTC secretary-general Takorn Tantasith yesterday said the watchdog might hold the re-auction in four months.

The committee has also informed Prime Minister General Prayut Chan-o-cha on the Jas case.

Takorn added that besides the option of the re-auction, another option is that the NBTC will propose to the junta that AIS, which proposed the second-highest price among four bidders, would be called to ask if the company is interested in buying this licence for Bt75.65 billion. If not, the watchdog will make the same proposal to DTAC.

Takorn said the NBTC had to consult with the junta on this second option.

The NBTC held the auction of two lots of 900MHz licences last December. AIS competed for the second spectrum lot by bidding Bt75.976 billion but was outbid by True Corp, which offered Bt76.298 billion.

As the auction ended, DTAC competed with JASMBB for the first spectrum lot by bidding Bt70.180 billion but it lost the bid to JASMBB.

True Move H Universal Communication (TUC) today signed an agreement with six financial institutions which are committted to issue letters of guarantee worth Bt73 billion.

With the commitment, True assures all that it is financially strong enough to offer 4G services in the 900MHz spectrum.

The six banks are Industrial and Commercial Bank of China (Thai), Bangkok Bank, Kasikornbank, Siam Commercial Bank, Krungthai Bank and Kiatnakin Bank. ICBC (Thai) provides nearly half of the amount. The letters will be submitted with TUC’s first payment of Bt8 billion to the National Broadcasting and Telecommunication Commission (NBTC) for the 900-MHz licence it won from the auction in December last year.

“Their joint support will enable True Group to officially own and operate the frequency to the fullest of its capacity in order to more effectively meet market demand and strengthen Thailand’s telecommunications infrastructure with its world-class quality 4G services…This is another key milestone for True Group to maintain its leadership in wireless broadband Internet, strengthen its business operations and further support its mobile business, which experienced outstanding growth last year,” said Suphachai Chearavanont, president and chief executive officer of True Group.

Samart Engineering is cashing in on the roll-outs of nationwide 4G networks by manufacturing parts for telecom equipment in base stations.

“We [foresaw] more investment from mobile-phone operators on 4G technology after the auction of 1,800MHz and 900MHz spectrum licences late last year. So we shifted to making more enclosures and main distribution boards,” said Thawee Udomkitchote, managing director of the subsidiary of Samart Corp.

The company expects to reach Bt600 million in revenue this year, with half coming from the enclosures and main distribution boards. Last year, the company’s Bt590 million in revenue came mostly from digital TV set-top boxes and antennas, while enclosures and main distribution boards contributed only Bt100 million.

The company had planned to tap the growth of digital TV set-top boxes and antennas but shifted focus after finding that the National Broadcasting and Telecommunications Commis-sion had failed to attract more people to redeem their discount vouchers for digital TV receivers.

The NBTC distributed Bt690 vouchers to 14.1 million households nationwide but only 9 million coupons were used to buy equipment. The company has also produced enclosures and metal sheets for other businesses including automated meter reading of the Metropolitan Electricity Authority.

The company also has eyed new business opportunities in the metal-sheet production business inAsean Economic Community countries. Advanced Info Service plans to spend Bt40 billion this year mainly to establish its fourth-generation cellular network and to enhance its 3G network.

Total Access Communication (DTAC) is committed to spending Bt70 billion on network investment and marketing campaigns for its 4G battle from this year to 2018.

MCOT will have to hand its 2.6GHz spectrum bandwidth back to the National Broadcasting and Telecommunications Commission (NBTC), according to the NBTC’s spectrum subcommittee, which found that MCOT’s rights over the bandwidth had already expired.

The state-owned broadcaster, which is a listed company, is however currently awaiting a decision from the regulator’s broadcasting committee on whether it can use part of the spectrum for a new service offering.

MCOT earlier claimed it had the right to retain all 144MHz of its 2.6GHz bandwidth, and said it planned to use part of it to offer a 4G pay-TV service, returning the remainder to the regulator for auction.

However, at its meeting on December 15, the spectrum subcommittee found that rights to all four parts of the bandwidth held by MCOT had already expired.

It said the rights to the first and second parts, for which MCOT had awarded a concession contract to TrueVisions for providing pay-TV service with a multichannel multipoint distribution system (MMDS), had ended on September 30 last year.

The rights to the third part, for which MCOT had awarded a contract to Siam Broadcasting and Communication for offering pay-TV service, had expired as far back as 1998, in the panel’s view.

The subcommittee’s opinion is that the right to operate all three parts of the spectrum that involved concession contracts ended at the same time as the expiry dates of those contracts.

The role of the panel is to examine when all the spectra used under state concessions expire.

Moreover, the rights to the last part of the spectrum, which MCOT had used to operate MMDS service in the provinces, also ended some time ago – in 1999.

Last year, the NBTC broadcasting committee rejected MCOT’s plan to operate its entire 2.6GHz bandwidth by joining with partner Playwork Co to offer pay-TV service.

The committee indicated that MCOT had no right to operate the service, and said that it had to return the spectrum to the NBTC.

However, MCOT later appealed the decision to the NBTC board, which concluded that the contract between MCOT and Playwork was still valid and said MCOT should reapply to the regulator for permission to launch the service.

The NBTC also forwarded the matter of MCOT’s request to launch the pay-TV service with Playwork to its spectrum subcommittee, which in December found that MCOT’s rights over the spectrum had already expired.

The panel then submitted its findings to the regulator’s broadcasting committee for a decision to be made on whether to allow MCOT to launch such a service.

However, the broadcasting committee failed to reach a final decision on the matter at its meeting on Monday this week.

Two broadcasting commissioners at the meeting were reportedly of the opinion that MCOT had no right to operate any of its 2.6GHz spectrum bandwidth, while the other three asked for more information so that the matter could be reconsidered.

The committee is expected to reconsider the issue next Monday.

MCOT’s plan is to use part of| the spectrum to offer pay-TV service, using 4G, and to return |the remaining bandwidth to the NBTC for auction on condition |that MCOT gets compensation for letting go of this part of the spectrum.

THE 900MHZ licences will be put up for re-auction three months after March 21 if True Corp or Jasmine International (JAS) fails to pay the first instalment of the licence fee and provide a bank guarantee by that date, the telecom regulator said.

Both companies won telecom licences on the 900-megahertz spectrum at an auction in December, but they are struggling to clear financial hurdles. True and JAS won the auction with bids worth Bt76.298 billion and Bt75.654 billion respectively. The licences will be sold at the prices offered by the winners.

Takorn Tantasith, secretary-general of the National Broadcasting and Telecommunications Commission, said the regulator reached the re-auction decision at a meeting of the telecom committee yesterday.

He reiterated that both winners had confirmed this week that they would make the payment and provide the bank guarantee by the deadline.

He added that both also asked him this week whether it was possible to get a discount on the upfront licence fee if they paid the whole amount in one lump sum, instead of four instalments as originally required.

“I’m still confident that they will definitely make it by the deadline. One of them will pay this month,” he said. “JAS has consulted us over the past months on the procedures to develop a portability system for mobile-phone numbers and to erect telecom towers.”

According to Takorn, those failing to meet the March deadline will also be required to take financial responsibility for the cost of a new auction and the cost of the December auction.

They will also be put on a blacklist of companies banned from the next round of licence bidding. If only one winner of the December auction fails to meet the deadline, the other one that honours the agreement will be able to take part in the re-auction.

If no one takes part in the re-auction, the bid will be postponed by one year.

True’s board of directors has resolved to issue up to 15 billion shares to raise Bt60 billion. Telecom analysts believe that the company was forced by creditors to raise equity in return for a bank guarantee.

An analyst said True’s recapitalisation had negative implications for JAS, as the banks might impose the same requirement on JAS. If JAS fails to meet the deadline for the first instalment of the licence fee, he believes that True will hold off on its payment and renegotiate the licence price with the NBTC. If that happens, True is likely to put the rights issue on hold.

The analyst said that if JAS fails to meet the deadline the chance of a re-auction would be very high.
